Specializing in corporate law, investment immigration, and international transactions, Mr. De Leon regularly advises both foreign and domestic clients in a wide range of business sectors. Mr. De Leon has represented foreign clients from numerous international jurisdictions, including but not limited to, Vietnam, China, Korea, Brazil, Mexico, South Africa, India, Mongolia, Peru, and Australia. Domestically, Mr. De Leon has advised clients in purchase and sales agreements, shared services arrangements, corporate formations, corporate capitalization, intellectual property licensing, and business disputes. Mr. De Leon has extensive experience in corporate formation, preparation of Reg S / Reg D offering memoranda, subscription agreements, EB-5 immigration investments, and cross-border planning for foreign high-net-worth individuals doing business in the United States. In support of his client’s interests and rights, Mr. De Leon has coordinated with specialized counsel for the preparation of estate plans, succession strategies, and litigations in both the State and Federal Courts of California.
In the entertainment sector, Mr. De Leon has also completed cross-border transactions through a WFOE structure that involved franchise Hollywood properties for location-based-entertainment in foreign markets. Mr. De Leon has represented entertainment companies, production companies, music artists, and music publishers in various corporate, business, and intellectual property matters. In addition, Mr. De Leon has advised on multiple transactions involving intellectual property licensing of top-tier properties for digital gaming.
Mr. De Leon also has experience in the creation of public-private partnerships, and in the formation, administration, and compliance of federally recognized non-profit organizations. Mr. De Leon has advised business owners and charitable organizations involved in California’s cannabis industry with regards to compliance with state regulations and the issues concerning expenditures of cannabis businesses under IRS Section 280E.
Additionally, Mr. De Leon’s clients include businesses focusing on digital applications to facilitate health related e-commerce, concierge medicine, and medically related cross-border transactions between the United States and various foreign markets. Mr. De Leon advises a technology services company that provides web development and app development services to companies ranging from start-ups to Fortune 100 enterprises. Mr. De Leon represents national and international manufacturers that produce finished wood products, food, skin-care products/cosmetics, and apparel brands. Mr. De Leon also advises modular-building design and construction companies to solve various business issues in both private and government procurements.
As a licensed attorney and entrepreneur was the General Counsel & Interim-COO for International Growth Capital, LLC, a full-service private equity consulting and marketing company. Mr. De Leon was a co-founder and shareholder of the Los Angeles law firm Worldwide Crossing Law Group. Prior to Worldwide Crossing, Mr. De Leon was a law clerk with the Las Vegas law firm, Chesnoff and Schonfeld, P.C., where he worked on several high-profile cases.
Mr. De Leon is a board member of Eco Era, a non-profit 501(c)(3) organization and retreat center focused on rainforest preservation and education through the management of a 2,000-acre nature reserve. Mr. De Leon is a special advisor to AI & You, a non-profit 501(c)(3) organization focusing on Artificial Intelligence education and training for underrepresented communities.
