Biography

Frank L.L. Kwok advises clients in connection with a wide range of public and private securities, capital markets matters, mergers and acquisitions, and corporate governance and investor rights issues, with a special emphasis on alternative investment structures, including public and private equity investments, Rule 144A offerings, registered direct offerings, pre-IPO financings, exchange offers, rights offerings, and regulatory and compliance matters. Frank also has experience representing U.S. and foreign companies, private equity funds, financial institutions, and advisers in public company reporting, and regulatory matters, including Section 13 and Section 16 compliance, Rule 144, and insider and other trading compliance.

In addition, Frank represents entrepreneurial clients in the hospitality, finance, technology and fashion industries on general corporate and business transaction matters.
